Nature of this agreement
This text sets out the general framework for membership and use of the project portal. Project scope, fees, delivery, intellectual-property rights, payment and cancellation terms are set out separately in the relevant proposal or services agreement. Mandatory consumer rights remain unaffected.
1. Parties and scope
This agreement is between Caliper Yazılım Çözümleri Anonim Şirketi (“Caliper”) and the person who creates an individual or corporate account on caliperiq.com. A person opening a corporate account represents that they are authorised to act for that legal entity.
2. Membership and account security
The member is responsible for accurate, current registration information, password confidentiality and actions made through the account. Suspicious access must be reported promptly to info@caliperiq.com. Caliper may temporarily restrict an account for security or legal reasons.
3. Membership is not a project commitment
Creating an account does not mean that Caliper has accepted a project, quoted a price, committed to a schedule or entered into a services agreement. Project scope, fees, delivery conditions, intellectual-property rights and specific obligations are agreed separately where required.
4. Project area and updates
Stages, progress records and updates in the project area are operational information. Unless a specific project agreement provides otherwise, estimated dates are not firm delivery commitments. Members must not submit third-party personal data, unlawful content or access credentials through the project area.
5. Payment steps
A payment option appears only when a project and payment step have been assigned. Card transactions are processed through the contracted payment provider’s secure infrastructure; CaliperIQ does not store card numbers, expiry dates or security codes. Applicable payment, cancellation and refund terms are defined in the relevant proposal or services agreement.
6. Intellectual property and confidentiality
Rights in Caliper software, designs, brands, texts and systems are reserved. The member receives only the right to use their account and assigned project area. Any project-specific transfer or licence is set out in a separate agreement. Each party agrees to use confidential information only for the relevant business relationship.
7. Personal data
Personal-data processing is explained in the separate KVKK Information Notice. Recording that the notice has been read is not consent. If an activity requires consent, it is requested separately and freely.
8. Amendments, termination and disputes
Caliper may update this agreement prospectively when required by service operations or law; material changes are notified to members. Members may request account closure, subject to legal retention duties. Turkish law applies, without prejudice to mandatory consumer and jurisdiction rules.
